1. Agreement to these terms

By creating an account, starting a subscription, or otherwise using Agent-Ready Card (“ARC”, the “Service”), you agree to these Terms of Service and to our Privacy Policy and Refund & Cancellation Policy, which are incorporated by reference. If you are using ARC on behalf of a business, you represent that you are authorized to bind that business to these terms. If you do not agree, do not use the Service.

2. What the Service is

ARC turns the public facts about your business — services, service area, hours, public pricing notes, and published policies — into a structured profile (an “agent-ready card”) hosted at a public URL, together with machine-readable endpoints (such as agent-card.json and an OpenAPI document) that AI assistants and agents can read.

ARC is a publishing and structuring tool. It does not act on your behalf. It does not take payments from your customers, make bookings, send outbound messages, sign contracts, or write to your CRM, and being “agent-readable” does not make your business autonomous. Any such action would require separate, explicitly configured features and your approval. We do not guarantee AI rankings, citations, visibility, agent adoption, traffic, or revenue.

3. Your account

You access ARC by signing in with a Google account or an email magic link through our authentication provider. You are responsible for maintaining access to the email address or Google account you use, and for activity that occurs under your account. Notify us at QMAI@quantummindaillc.com if you believe your account has been accessed without authorization.

4. Subscriptions, pricing, and billing

ARC offers paid monthly plans. As of the date above, these are Starter ($19 / month), Pro ($79 / month), and Managed ($199 / month). A free agent-readiness scan is also available at no charge. Plan names, prices, and features may change for future billing periods; current pricing is always shown on the pricing page before you subscribe.

Payments are processed by Stripe, our third-party payment processor. ARC does not receive or store your full card number, CVC, or other sensitive card data — that information is handled directly by Stripe under its own terms and security standards. By subscribing, you authorize us, through Stripe, to charge the payment method you provide.

5. Automatic renewal and how to cancel (please read)

Your subscription is a recurring, automatically renewing charge.

• Recurring charge. When you subscribe, you authorize a recurring charge to your payment method for the plan you selected (Starter $19, Pro $79, or Managed $199 per month, plus any applicable taxes).
• Renewal cadence. Your plan renews automatically every month on your billing date and your payment method is charged for each new monthly term, until you cancel.
• No fixed end date. The subscription continues for successive monthly terms until cancelled by you or us.
• How to cancel.You can cancel at any time — cancelling is as easy as signing up. Open the Stripe billing portal from the “Manage subscription” section of your workspace and cancel there. Cancellation stops future renewals. See the full Refund & Cancellation Policy.
• What happens on cancellation. When a subscription is no longer active, the paid entitlement is revoked and paid-only capabilities stop. Your already-published card is not automatically taken down when you cancel— it remains available at its public URL and machine-readable endpoints until you delete or unpublish it yourself, or until QuantumMind AI delists it, as described in the Refund & Cancellation Policy. Cancelling does not delete your account or stored facts unless you separately request deletion.

We present these recurring-charge terms and a cancellation path before you are charged so you can review the subscription before consenting at checkout.

6. Your card content is owner-warranted

You choose what business facts to enter and publish. You retain ownership of your business content. By publishing a card, you grant QuantumMind AI a non-exclusive license to host, store, format, reproduce, and serve that content (including through machine-readable endpoints) for the purpose of operating the Service.

You warrant that the business facts and any other content you publish are accurate, are yours or that you are authorized to publish them, are not misleading, and do not infringe the rights of any third party or violate any law. You are solely responsible for your published content. QuantumMind AI does not verify, endorse, or guarantee the accuracy of customer-published content, and (except where a plan explicitly includes human review) does not edit it.

7. Acceptable use

You agree that you will not, and will not allow others to:

• publish false, deceptive, fraudulent, or unlawful business information;
• impersonate another business or person, or publish content you are not authorized to publish;
• use the Service for any unlawful purpose, or in violation of any applicable law or regulation;
• attempt to gain unauthorized access to the Service, other users’ data, or our infrastructure, or interfere with or disrupt the Service (including via scraping that degrades the Service, automated abuse, or attempts to bypass row-level security);
• upload malware, or use the Service to store or transmit harmful, infringing, or unlawful material.

We may suspend or terminate access for violations of this section, as described in “Suspension and termination” below.

8. Our intellectual property

The Service itself — including ARC’s software, design, the agent-readiness methodology, and the QuantumMind AI and Agent-Ready Card names and logos — is owned by QuantumMind AI LLC and is protected by intellectual-property laws. These terms do not grant you any right to our marks or software except the limited right to use the Service per these terms.

9. Service provided “as is”

The service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or secure, that defects will be corrected, or that any particular result (such as AI visibility, rankings, citations, traffic, leads, or revenue) will be achieved. ARC is not legal, tax, financial, medical, or compliance advice. You use the Service at your own risk.

10. Limitation of liability

To the maximum extent permitted by law, QuantumMind AI will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or related to the Service.

Our total aggregate liability for any claim arising out of or related to the Service will not exceed the greater of (a) the total amounts you paid to us for the Service in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these terms limits liability that cannot be limited under applicable law.

11. Indemnification

You agree to defend, indemnify, and hold harmless QuantumMind AI LLC from claims, damages, and expenses (including reasonable legal fees) arising from your published content, your use of the Service, or your breach of these terms or of any law or third-party right.

12. Suspension and termination

You may stop using the Service and cancel your subscription at any time (see the Refund & Cancellation Policy). We may suspend or terminate your access if you violate these terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends and paid entitlements are revoked; we may also delist your published card. Delisting is an action we may take (for example, on termination for cause or at our discretion) — it does not happen automatically when you cancel your own subscription. Sections that by their nature should survive termination (including content ownership, warranties, disclaimers, limitation of liability, indemnification, and governing law) will survive.

13. Changes to these terms

We may update these terms. When we make material changes, we will update the “Last updated” date and, where appropriate or legally required, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated terms.

14. Governing law and dispute resolution

These terms are governed by applicable United States federal law and the laws of the U.S. state where QuantumMind AI LLC is organized, without regard to conflict-of-law rules, except where applicable consumer-protection law gives you non-waivable rights in your place of residence.

We have not added a mandatory arbitration clause or class-action waiver to these terms. If a dispute arises, contact us first at QMAI@quantummindaillc.com so we can try to resolve it quickly and informally.
